1. Acceptance & eligibility
In short: Signing up for the affiliate program means you agree to this Agreement, our Terms of Service, and our Privacy Policy.
This Affiliate Program Agreement is a binding contract between you (the “Affiliate”) and Dominion Studios, operator of Icarus Works(the “Company,” “we,” or “us”). By enrolling in the program, creating an affiliate account, or promoting Icarus Works with a referral link or code, you agree to this Agreement.
- You must be at least 18 and able to form a binding contract.
- You must complete Stripe payout onboarding (identity + bank details) before any commission can be paid to you. Commissions accrue in the meantime.
- Payouts are currently supported for affiliates who can receive funds through Stripe in a supported country. Where cross-border payout is not yet available, your account is waitlisted and commissions continue to accrue.
- Employees, contractors, and immediate family of the Company are not eligible.
2. Independent contractor
In short: You’re an independent contractor, not our employee, agent, or partner. You can’t sign, speak, or spend on our behalf.
Nothing in this Agreement creates an employment, partnership, joint-venture, or franchise relationship. You are an independent contractor. You have no authority to make any representation, warranty, contract, or commitment on behalf of the Company, and you may not present yourself as doing so. You are solely responsible for your own business expenses, equipment, and—as set out below—your own taxes.
3. Commission & attribution
In short: 20% of the recurring monthly retainer, every month your referral stays active. One-time fees (audits, builds, setup) don’t count. First-touch, 90-day cookie.
- What you earn. 20% of the recurring monthly retainer paid by each client you refer, recurring for as long as that client stays active on a paying plan.
- What doesn’t count.One-time charges—audits, build or implementation fees, setup fees, and any other non-recurring line—are excluded from commission. Commission is calculated on the recurring retainer line only.
- Attribution. Referrals are credited on a first-touch basis. A visitor who arrives through your referral link or enters your code is attributed to you for 90days. Attribution is keyed to your affiliate account, not to a specific code—so changing your code never un-credits a past referral.
- Self-referrals. You may not earn commission on your own purchases or those of businesses you own or control.
- When it’s earned.A commission is earned when the client’s recurring retainer charge is successfully collected. Commissions accrue to your account and are transferred to you once your Stripe payout onboarding is complete.
4. Payouts via Stripe
In short: We pay you through Stripe. Finish Stripe onboarding once; after that, earned commissions transfer to your bank automatically.
Payouts are processed through Stripe Connect. When you set up payouts in your Affiliate Console, Stripe collects your identity and bank details directly and securely—we never see or store your bank account or government ID numbers.
- Commissions accrue as soon as they’re earned and become payable once your Stripe account is verified and payouts are enabled.
- After verification, earned commissions are transferred to your connected Stripe account automatically. Stripe then pays out to your bank on its standard schedule.
- You are responsible for keeping your Stripe payout details current. We are not liable for payouts delayed or failed because of incomplete, inaccurate, or out-of-date information you provided to Stripe.
- You can review your earnings, pending balance, and payout history any time in your Affiliate Console, and open your Stripe dashboard from the Earnings tab.
5. Taxes & tax forms
In short: Your commissions are your income, and your taxes are yours to handle. Stripe collects your tax info and issues your tax forms directly — we don’t handle your taxes.
You are solely responsible for determining and paying all taxes owed on the commissions you earn. We do not withhold taxes from your payouts and do not provide tax advice.
- Tax information goes to Stripe.As part of payout onboarding, Stripe collects the tax information required for your account—for U.S. affiliates, that generally means a Form W-9 (name, address, and taxpayer identification number); for non-U.S. affiliates, a Form W-8BEN / W-8BEN-E.
- Stripe issues your tax forms. Where a tax form is required, Stripe prepares and delivers it (for example, an IRS Form 1099-K to eligible U.S. recipients) through the Stripe tax-reporting process. You can view and download your tax documents from your Stripe dashboard.
- Keep your details accurate.Make sure the legal name, address, and taxpayer ID you give Stripe are correct, so your forms are accurate and your payouts aren’t placed on hold for missing tax information.

6. Refunds, chargebacks & clawbacks
In short: If a charge you earned on is refunded or charged back, the matching commission is reversed proportionally. It’s automatic.
Commission is only truly earned on funds we actually keep. If a retainer charge you were credited for is later refunded, disputed, or charged back—in whole or in part—the corresponding commission is reversed proportionally and deducted from your accrued or future balance. Where a reversal exceeds your current balance, the shortfall carries against future commissions. We do not pursue you personally for reversed amounts beyond your affiliate balance.
7. Promotion rules
In short: Promote us honestly, disclose that you earn a commission, and follow the FTC endorsement rules and anti-spam laws.
- Disclose.Clearly and conspicuously disclose your affiliate relationship wherever you promote us, as required by the FTC Endorsement Guides and equivalent local rules (e.g., “I earn a commission if you sign up through my link”).
- Be truthful. Only make claims about Icarus Worksthat are accurate and that we’ve published. Don’t promise specific rankings, results, revenue, or guarantees—we don’t, and neither can you on our behalf.
- Follow anti-spam law.Any email or messaging you send must comply with CAN-SPAM, CASL, GDPR/ePrivacy, and similar laws—including consent, accurate headers, and working unsubscribe. Don’t send unsolicited bulk email that references us.
8. Prohibited conduct
In short: No brand-bidding on our name, no fake or self-referrals, no cookie-stuffing, no misleading or off-brand promotion. Break these and commissions can be voided.
- Bidding on our trademarks or close variants in paid search, or running ads that impersonate us or our domains.
- Registering domains, social handles, or app names that are confusingly similar to ours.
- Cookie-stuffing, forced clicks, iframe tricks, typosquatting, or any method that fabricates attribution.
- Self-referrals, referrals from accounts you control, or coordinated fake sign-ups.
- Offering unauthorized cash rebates, or promoting us on sites with illegal, hateful, adult, or infringing content.
- Spamming, deceptive advertising, or misrepresenting our pricing, features, or guarantees.
We may withhold, void, or reverse commissions connected to prohibited conduct and terminate accounts that violate these rules.
9. Brand & trademarks
In short: You get a limited license to use our name and approved assets to promote us—nothing more, and only while you’re in the program.
We grant you a limited, non-exclusive, revocable, non-transferable license to use the Icarus Worksname and any brand assets we make available, solely to promote the service under this Agreement. You gain no ownership of our marks; all goodwill from your use runs to us. Don’t modify our marks, imply endorsement or partnership beyond “affiliate,” or use our brand after your participation ends.
10. Term & termination
In short: Either of us can end this anytime. Commissions properly earned before termination are still paid, subject to clawbacks. Prohibited conduct can forfeit them.
This Agreement starts when you enroll and continues until terminated. Either party may terminate at any time, for any reason, with notice (including by closing your account). On termination, your license to use our brand ends immediately. Commissions properly earned before termination remain payable, subject to the refund/chargeback clawback rules—except that commissions tied to fraud or prohibited conduct may be voided. We may also suspend payouts while investigating suspected abuse.
11. No guarantee & limitation of liability
In short: We don’t guarantee any level of earnings. To the extent the law allows, our liability to you is capped at commissions payable to you.
We make no representation that you will earn any particular amount, or anything at all. The program is provided “as is.” To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, or consequential damages, and our total liability arising out of the program is limited to the total commissions payable to you under this Agreement. This section works together with the limitations in our Terms of Service.
12. Changes
In short: We may update the program terms or commission structure going forward. Material changes are posted here with a new date; continuing to promote us means you accept them.
We may modify this Agreement, the commission rate, or program mechanics prospectively. When we make material changes we’ll update the date on this page and, where appropriate, notify active affiliates. Changes don’t reduce commissions already earned. Continuing to participate after a change takes effect means you accept the updated terms.
